These Terms of Service ("Terms") govern your use of the website and services ("Service") provided by Lucent Works LLC ("Lucent Works," "we," "us," or "our"), a Colorado limited liability company.
By accessing or using our website or our Service, you agree to these Terms in full. If you use the Service on behalf of a business, you represent that you have the authority to bind that business to these Terms.
If you do not agree to these Terms, do not use our website or the Service.
2. Description of Services
Lucent Works LLC is a solo-operated business providing AI-assisted automation and workflow services for trade-service contractors. We work directly with each client to set up and operate practical automations such as lead response, appointment scheduling, customer follow-up, and the day-to-day operational workflows that connect with the tools a contractor already uses.
Our Service is delivered as hands-on work configured and managed for each client, not as a self-serve software product. The specific work we provide is agreed directly with you. We may adjust, add, or discontinue what we offer over time, with reasonable notice to active clients.
3. Eligibility
You must be at least 18 years old and legally capable of entering a binding contract to use the Service. The Service is intended for use by business owners and operators in the trade contracting industry. By using the Service, you represent that you meet these requirements.
4. Account Registration
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account at aaron@lucentworks.co or 720-706-3082.
You agree to provide accurate, current, and complete information when creating your account and to keep that information updated.
5. Fees and Payment
Lucent Works does not offer a self-serve plan or automatic recurring billing, and nothing on this website is an offer of a fixed published price or an automatically renewing charge.
Any fees for our services are agreed directly with you as part of an individual engagement. The payment terms that apply to you, including amounts, timing, and method, are the ones set out in that engagement. Failure to pay agreed fees may result in suspension or termination of the Service.
6. SMS Communications
Lucent Works LLC operates SMS messaging programs as described in full in the SMS Communications section of our Privacy Policy. That section is the authoritative source for program types, message types, frequency, opt-in methods, opt-out and help instructions, and the required carrier and rate disclosures.
Consent is optional. Enrolling in or consenting to any SMS program is never a required condition of creating an account, purchasing, or using any Lucent Works product or service. You can decline or revoke SMS consent at any time without affecting your access to any service or feature.
Opt out and help. Reply STOP to any message to unsubscribe at any time, or HELP for assistance. Message and data rates may apply. Mobile numbers and opt-in data are not sold or shared with third parties for marketing purposes.
Compliance. All SMS messaging operated by Lucent Works is conducted in accordance with applicable law, including the Telephone Consumer Protection Act (TCPA) and the CAN-SPAM Act, and with carrier and CTIA messaging guidelines.
7. Permitted Use
You may use the Service solely for lawful business purposes in connection with your trade contracting business. You agree to use the Service in accordance with these Terms, our Privacy Policy, and all applicable local, state, federal, and international laws and regulations.
8. Prohibited Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation
- Resell, sublicense, or otherwise provide the Service to third parties without written authorization from Lucent Works
- Attempt to gain unauthorized access to the Service or its underlying infrastructure
- Interfere with or disrupt the integrity or performance of the Service
- Use the Service to send spam, unsolicited communications, or messages to opted-out recipients
- Use the Service in any manner that could harm Lucent Works, other subscribers, or third parties
- Reverse engineer, decompile, or attempt to extract source code from the Service
9. Intellectual Property
Your data: You retain all rights to your business data, customer data, and the information you bring into the Service. Lucent Works does not claim ownership of your data.
Our platform: Our software, AI models, workflows, and documentation are the intellectual property of Lucent Works LLC. These Terms do not grant you any rights to our intellectual property beyond the limited license to use the Service as described herein.
Feedback: If you submit ideas, feature requests, or suggestions to us, you grant Lucent Works the right to use that feedback without restriction or compensation. Feature requests improve the Service for all clients.
10. Privacy
Your use of the Service is also governed by our Privacy Policy, available at lucentworks.co/privacy, which is incorporated into these Terms by reference. By using the Service, you agree to the collection and use of your information as described in the Privacy Policy.
11. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. Lucent Works does not warrant that the Service will be uninterrupted, error-free, or that specific results will be achieved.
Business performance results, including call answer rates, average ticket values, and revenue outcomes, depend on many factors beyond the Service, including market conditions, technician performance, and business practices. The statistics referenced in our marketing materials reflect industry research and are not guarantees of specific outcomes for your business.
Lucent Works is not a licensed financial advisor, legal advisor, or regulated professional services firm. Nothing in the Service constitutes professional advice.
12. Limitation of Liability
To the maximum extent permitted by applicable law, Lucent Works LLC and its founder shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of or inability to use the Service.
Lucent Works's total liability to you for any claims arising from these Terms or the Service shall not exceed the total fees you paid to us for the Service in the 90 days prior to the claim.
13. Indemnification
You agree to indemnify, defend, and hold harmless Lucent Works LLC and its founder from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your violation of any applicable law, including without limitation any claims arising from your use of the SMS messaging functionality.
14. Governing Law and Disputes
These Terms are governed by the laws of the State of Colorado, without regard to its conflict of law principles. Any dispute arising from these Terms or the Service shall be resolved through good-faith negotiation between the parties. If negotiation fails, disputes shall be resolved in the state or federal courts located in Adams County, Colorado.
We're a small, founder-operated business. If you have an issue, please contact Aaron directly before pursuing any formal dispute process. Most things can be resolved in a phone call.
15. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will notify active clients by email at least 14 days before the changes take effect. Your continued use of the Service after the effective date of updated Terms constitutes your acceptance of the changes.
If you do not agree with an update, stop using the Service before the effective date.
